Terms of Service
Version 1.0 · Effective: 2026-10-29
These Terms of Service ("Terms") govern the use of the Consentl app for Shopify ("App") provided by STL EMBEDED CREATIONS SRL, Str. Kovari 75, 400217 Cluj-Napoca, Cluj, Romania; trade register no. J2020001305120, fiscal code (CUI) 42512332 (not VAT-registered; intra-Community VAT code RO46686340) ("we", "us"). Contact: support@consentl.com.
1. The contract and how it is concluded
1.1 These Terms are a contract between us and the business that operates the Shopify store on which the App is installed ("Merchant", "you").
1.2 Shopify is not a party to these Terms and is not responsible for the App. Your use of Shopify is governed by Shopify's terms of service. App charges, trials and refunds are processed by Shopify under Shopify's billing terms; if those terms require something different for app charges, they apply to that extent.
1.3 Acceptance. You accept these Terms, the Data Processing Addendum ("DPA") and the clauses listed in section 22 in the App's acceptance step, by ticking the boxes shown there, on behalf of the business that operates the store. The person who accepts confirms that they are authorised to bind that business. We record which version was accepted, when, and by which staff member. If you do not accept them, do not use the App.
1.4 The contract consists of these Terms, the DPA and the plan description (section 3.2). Our privacy policy (external site) explains how we process personal data; it is information, not part of the contract. On data protection the DPA prevails over these Terms.
1.5 Each version of these Terms has a version number and an effective date. You can save or print the Terms from the website; earlier versions are kept in an archive and are available on request. Between businesses, the information duties of Articles 10(1)–(2) and 11(1) of Directive 2000/31/EC on electronic commerce do not apply.
2. Business use only
The App is offered only to businesses, for use in their trade, business, craft or profession. By accepting these Terms you confirm that you act for such a business. Mandatory rules that protect consumers remain unaffected.
3. The App
3.1 The App provides tools that help merchants manage cookie consent and privacy requests on their Shopify store: a consent banner and preferences dialog, region rules, a consent log, tools to hold back scripts until consent, signals to Shopify and to third-party tags, a cookie scanner and cookie declaration, a privacy-request form and log, and, on some plans, an EU withdrawal function, an age check and an accessibility menu.
3.2 Plan description. The features and limits of each plan are those shown on the Plans page in the App when you subscribe or change plan. We keep a dated copy of each version. In particular:
- every plan publishes every region preset of the App (including, for example, Brazil and Quebec); changing a law's model (custom strategy) requires the Business plan;
- the Free plan shows the banner in all of the store's published languages using the App's standard translations (editing texts in languages other than the primary one requires Pro), shows a "Powered by Consentl" link on the banner, lets Shopify-managed pixels follow the visitor's choice and sends that choice to Google Consent Mode v2; it does not include the EU withdrawal function or automatic blocking of scripts;
- the EU withdrawal function (Directive (EU) 2023/2673) is available on Pro and higher. A merchant who sells to EU consumers and uses the Free plan must provide the withdrawal function by other means. Once you have switched the function on during a paid plan, the withdrawal page stays available after a downgrade;
- automatic blocking of known trackers is available on Pro and higher and custom blocking rules on Business and higher; scripts can be marked for blocking by hand on every plan;
- consent records are kept for the period of the plan (Free and Pro 425 days, Business 730 days, Enterprise 1,825 days), and never for less than the consent lifetime you set plus 30 days.
3.3 Changes to the App. We may change, add or remove features to improve the App, to follow changes in law or in Shopify's platform, or for security. We will not materially reduce the features of your paid plan during a paid billing period; if we reduce them from a later period, we tell you at least 30 days in advance and you may cancel (section 6.6 applies). We may change or end the Free plan with at least 60 days' notice.
3.4 Preview features. Features marked as "beta" or "preview" are offered for testing, may change or end at any time and are provided without the commitments in section 14.
4. Your responsibility for compliance
4.1 You remain the controller (or "business") for the personal data of your visitors and customers. You decide whether and how to use the App, and you are responsible for your store's compliance with data protection, ePrivacy, consumer and other laws.
4.2 Configuration. You are responsible for configuring the App for your store and checking the result, in particular: the regions and legal models you select; the categories assigned to cookies, scripts and apps; the texts of the banner, cookie declaration and e-mails (including any texts you edit or translate); the links to your privacy policy, cookie policy and legal notice; and keeping the banner switched on and outside test mode once your store is live.
4.3 Trackers outside the App's control. The App can only control scripts that run after it on
your storefront and that it recognises or that you mark. Tags hard-coded in your theme files (for
example in theme.liquid) can be requested by the browser before any script can block them; you
must move or mark them as explained in the App's documentation. Third-party apps, custom pixels and
server-side tracking are under your control and that of their providers.
4.4 Requests and deadlines. You are responsible for answering privacy requests and withdrawals within the statutory deadlines. Deadlines shown in the App are aids and do not replace your own assessment.
4.5 Your own documents. You must maintain your own privacy policy, cookie policy, legal notice and records of processing, and inform your visitors about the use of the App (naming Consentl as your processor or service provider where the law requires it). The App's default texts and the cookie declaration are templates.
4.6 Your content. You confirm that you have the rights needed for the content you upload or enter (texts, logos, custom CSS) and that it is lawful.
5. No legal advice and no guarantee of compliance
5.1 The App is a technical tool. It does not provide legal advice, and we do not guarantee that the use of the App makes your store compliant with any law. Whether a store is compliant depends on its whole processing, its configuration and the laws that apply to it, which can change and be interpreted differently by authorities and courts.
5.2 Region presets, default texts, the cookie database and the scanner reflect our good-faith understanding of common requirements at the time and may be incomplete or out of date. Scanner results depend on what is visible to an automated visitor and may miss or misclassify items.
5.3 You should obtain your own legal advice where needed.
6. Plans, fees and billing
6.1 Billing by Shopify. Paid plans are billed by Shopify through Shopify's app billing, in the currency and at the prices shown in the App and on the listing when you subscribe. Shopify charges any applicable taxes on your Shopify bill.
6.2 Subscriptions and automatic renewal. Paid plans are subscriptions, billed monthly or yearly in advance through Shopify. A yearly plan costs ten times the monthly price. Your subscription renews automatically for the same period at the then-current price until you cancel it.
6.3 Free trial. A paid plan may start with a free trial of 14 days, as shown when you subscribe. Shopify decides whether your shop is eligible (for example if it used a trial before). Unless you cancel or uninstall the App before the trial ends, Shopify starts charging at the end of the trial.
6.4 Plan changes. You can change your plan at any time in the App. Upgrades start when you approve them in Shopify. On a downgrade, features not included in the new plan stop working. If the new plan keeps consent records for a shorter period, the previous period still applies for 30 days so that you can export the records; after that, records older than the new period are deleted (never earlier than the consent lifetime you set plus 30 days).
6.5 Cancellation. You can cancel at any time by moving to the Free plan or by uninstalling the App. Cancellation takes effect as Shopify applies it; uninstalling cancels the app subscription in Shopify. Fees already paid are not refunded except as stated in section 6.6.
6.6 Refunds. Fees are non-refundable, except:
- (a) if we end the contract for convenience (section 12.2), because Shopify no longer allows us to provide the App, or under force majeure (section 17);
- (b) if you terminate because we materially reduced the features of your paid plan (section 3.3), changed these Terms (section 18) or engaged a new sub-processor you objected to (DPA section 6.3);
- (c) if you were charged twice for the same shop and plan period.
In these cases we refund the fees paid for the unused part of the period, through Shopify as a refund or an app credit.
6.7 Price changes. We may change the prices of paid plans. A new price applies at once to new subscriptions. Shopify billing keeps an existing subscription at its price until you approve a new one in Shopify, for example when you change plan. We may ask you to approve a new price for your current plan with at least 30 days' notice by e-mail and in the App; yearly plans keep their price until the end of the paid year. If you have not approved the new price or chosen another plan by the date given in the notice, your shop stays on the old price until the end of the then-current billing period and then moves to the Free plan.
6.8 Our tax status. We are not registered for VAT in Romania (small-enterprise exemption, art. 310 of the Romanian Fiscal Code) and hold the intra-Community VAT code RO46686340. Shopify handles the taxes on app charges.
7. Data protection
7.1 Our processing of your account data is described in our privacy policy.
7.2 When we process personal data on your behalf, the DPA applies and forms part of these Terms. It includes the CCPA service-provider terms and the transfer clauses.
8. Acceptable use and content
8.1 You must not: use the App in breach of law or of Shopify's terms; use it to collect data you are not allowed to collect; attempt to access other merchants' data, probe, overload or circumvent the security or plan limits of the App; reverse engineer it except as allowed by law; or resell it.
8.2 We may remove or disable content you upload (such as texts, images or CSS) that is unlawful or breaches this section. We tell you why and how to contest the decision. Anyone can report unlawful content to support@consentl.com.
9. Suspension
9.1 We may suspend all or part of the App only:
- (a) where needed to prevent or stop a security incident or serious harm to the App, to other merchants or to visitors;
- (b) if you seriously breach section 8 and do not remedy the breach within 7 days of our notice (no notice period applies where the breach is urgent or unlawful); or
- (c) where the law or an authority requires it.
9.2 Where possible we suspend only the affected part, keep your published banner running and give you advance notice, so that you can put another consent solution in place. We restore the App once the cause is removed. Non-payment does not lead to suspension: Shopify billing decides what happens to an unpaid subscription, and the shop then moves to the Free plan.
10. Availability and support
10.1 We provide the App with reasonable skill and care, but we do not guarantee uninterrupted or error-free operation. There is no service level agreement unless agreed in writing. Maintenance may cause short interruptions.
10.2 If our servers cannot be reached, the banner on your storefront keeps working from the configuration stored in your shop, but consent records and privacy requests sent during the outage may be lost.
10.3 Support is provided by e-mail at support@consentl.com, in English or Romanian. We aim to answer within 2 Romanian business days. There is no status page.
11. Intellectual property and licences
11.1 The App, its code, the storefront script, texts, translations and the cookie database are owned by us or licensed to us. They are proprietary. We grant you a non-exclusive, non-transferable right to use the App for your stores for the term of these Terms.
11.2 Third-party components and data are used under their own licences, for example the Open Cookie Database (Apache License 2.0). Nothing in these Terms restricts the rights those licences give you.
11.3 On the Free plan the banner shows a "Powered by Consentl" link; you allow us to display it.
11.4 You keep all rights in your content (texts, logos, settings) and grant us the rights needed to host and display it in the App and on your storefront for the term of these Terms. If you send us suggestions, we may use them without obligation.
12. Term and termination
12.1 These Terms apply from your acceptance until you uninstall the App. You may uninstall at any time.
12.2 We may terminate for convenience with at least 60 days' notice, and immediately for a serious breach that you do not remedy within 14 days of our notice, or if Shopify ends our ability to provide the App. If we terminate for convenience, or because Shopify ends our ability to provide the App, section 6.6(a) applies.
12.3 Survival. Sections 6.6 (fees owed and refunds), 11, 13, 14, 15, 16, 19, 20 and 21 survive termination.
13. Export, switching and deletion
13.1 Export. You can export your consent log, privacy requests, withdrawals and cookie list as CSV at any time.
13.2 Switching. If you want to switch to another provider or to your own systems, you can move to the Free plan and keep the App installed while you export your data, for as long as you need and for at least 30 days; exports are available on every plan. We do not charge for switching. Exportable data means the consent log, privacy requests, withdrawals, the cookie declaration and the banner settings; it does not include our software, templates or cookie database.
13.3 After uninstall. When you uninstall the App, your access token is deleted immediately and all other shop data, including consent records, privacy requests and withdrawals, is deleted when Shopify sends the shop/redact notification, 48 hours later, and in any case within 30 days (DPA Schedule 1). Export the data you need to keep before uninstalling. Billing records are kept as accounting law requires.
14. Warranty
We provide the App with reasonable skill and care in line with its description (section 3) and correct reproducible defects within a reasonable time after you report them. This is an obligation of means (obligație de mijloace). Except as stated in these Terms and the DPA, and to the extent permitted by law, we give no other warranties, in particular that the App is free of errors, uninterrupted, or suitable for a specific purpose or legal requirement.
15. Limitation of liability
15.1 We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and where liability cannot be limited by law.
15.2 Otherwise, to the extent permitted by law:
- we are not liable for indirect or consequential damage, lost profit, lost revenue, or lost data that you could have exported;
- we are not liable for fines and penalties imposed on you by authorities, except to the extent they result from our breach of the DPA (subject to the limit in DPA section 14);
- our aggregate liability for all claims arising out of or in connection with these Terms in any contract year is limited to the fees paid for the App for the affected shop (including fees paid to Shopify for the App) in the 12 months before the first event giving rise to liability, and to EUR 100 if no fees were paid in that period.
15.3 Claims under the DPA are subject to the limitation in DPA section 14 instead of section 15.2.
16. Indemnity
You indemnify us against third-party claims, including claims of data subjects and fines imposed on us by authorities, to the extent they result from your breach of these Terms, the DPA or data protection law, or from your content or configuration, provided that we notify you promptly, let you control the defence (we may take part at our own cost) and cooperate reasonably, and that we do not settle without your consent. We indemnify you on the same conditions against third-party claims that the App, used as permitted, infringes their intellectual property rights.
17. Force majeure
Neither party is liable for a failure or delay caused by events beyond its reasonable control, including force majeure and fortuitous events within the meaning of art. 1351 of the Romanian Civil Code, failures of the internet, of Shopify's platform or of our hosting providers, attacks and acts of authorities. The affected party informs the other without undue delay. If such an event lasts more than 30 days, either party may terminate, and section 6.6(a) applies. This section does not apply to payment obligations.
18. Changes to these Terms
18.1 We may change these Terms for valid reasons: changes in law, in Shopify's terms, in the App, or for security. We tell you about material changes at least 30 days in advance by e-mail to your notice address (section 19) and in the App. Changes required by law, or that only benefit you, may apply sooner.
18.2 If you object, you may terminate before the change takes effect; section 6.6(b) applies.
18.3 Where a change concerns a clause listed in section 22, we ask for your express acceptance in the App. Until you give it, the previous version of that clause continues to apply; if you do not accept within 60 days, either party may end the contract at the end of the current paid period.
18.4 Other changes apply from their effective date. Previous versions are kept in the archive.
19. Notices and electronic communications
19.1 We send notices by e-mail to the privacy contact you set in the App or, if none is set, to the e-mail address of the Shopify store owner account, and show important notices in the App. You send notices to support@consentl.com.
19.2 The parties agree to communicate electronically. Our records of acceptance, notices and settings are evidence of their content and date (Romanian Law 214/2024 on the use of electronic signatures).
20. Governing law and jurisdiction
20.1 These Terms and any non-contractual obligations arising out of or in connection with them are governed by Romanian law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
20.2 The competent courts of Cluj-Napoca, Romania, have exclusive jurisdiction. We may also bring proceedings in the courts of the place where you are established. Mandatory rules that give you the right to sue elsewhere remain unaffected.
21. Miscellaneous
21.1 Assignment. We may transfer these Terms to a successor or an affiliated company with notice to you. You may transfer them only with our consent, which we will not refuse unreasonably for a transfer of the store.
21.2 Subcontracting. We may use subcontractors; for sub-processors of personal data the DPA applies.
21.3 Confidentiality. Each party keeps confidential the non-public information of the other that it receives under these Terms and uses it only for the contract.
21.4 Sanctions. You confirm that you are not subject to EU, UN, UK or US sanctions and will not use the App for the benefit of a sanctioned person or territory. We may end the contract with immediate effect if this is not true.
21.5 Independent parties; no waiver; severability. The parties are independent contractors. Not exercising a right is not a waiver. If a provision is invalid, the rest remains in force and the parties replace it with a valid provision that comes closest to its purpose.
21.6 Entire agreement. These Terms, the DPA and the plan description are the entire agreement on the App.
21.7 Language. These Terms are published in English, and the English text is binding. Translations, where provided, are for convenience only. In the acceptance step you confirm that you understand English.
22. Clauses accepted expressly
Under art. 1203 of the Romanian Civil Code, standard clauses that limit liability, allow a party to terminate or suspend unilaterally, provide for tacit renewal, choose the applicable law or derogate from the rules on court jurisdiction take effect only if the other party accepts them expressly, in writing. By ticking the separate express-acceptance box in the App, you expressly accept the following clauses:
| Clause | Subject |
|---|---|
| 3.3 | Our right to change the App and to change or end the Free plan |
| 6.2 and 6.3 | Automatic renewal of subscriptions and conversion of a free trial into a paid subscription |

| 6.7 | Our right to change prices |
| 9 | Our right to suspend the App |

| 14 | Exclusion of warranties |
| 15 | Limitation and exclusion of our liability |
| 16 | Your indemnity |
