Consentl for websites — Terms of Service
Version 1.0 · Effective: 2026-10-23
1. Parties, scope and acceptance
1.1 These Terms of Service ("Terms") are a contract between STL EMBEDED CREATIONS SRL, Str. Kovari 75, 400217 Cluj-Napoca, Cluj, Romania; trade register no. J2020001305120; fiscal code (CUI) 42512332; not registered for VAT (intra-Community VAT code RO46686340); e-mail [email protected] ("we", "us") and the person or business that opens a Consentl account ("you").
1.2 They govern Consentl for websites: the Service and the Plugins defined in section 2. They do not apply to the Consentl app for Shopify, which has its own terms of service; Shopify stores use the Shopify app.
1.3 Acceptance. You accept these Terms when you create your account, by ticking the boxes shown there, and again when you buy a paid plan, in the payment page. Business customers also accept the Data Processing Addendum and, with a separate box, the clauses listed in section 28. When a new version needs your acceptance, the dashboard asks for it before you continue. We record which version you accepted and when (section 25.2).
1.4 Before you buy a paid plan we show you its main characteristics, the total price, the billing period, the renewal and cancellation rules and, if you are a consumer, your right of withdrawal. Each version of these Terms has a version number and an effective date. You can save and print the Terms from our website; earlier versions are kept in an archive and are available on request.
1.5 [Business] Between businesses, the information duties of Articles 10(1)–(2) and 11(1) of Directive 2000/31/EC on electronic commerce do not apply.
2. Definitions
- Account: your Consentl account, with its owner and, where the Service allows it, other team members with the roles owner, admin or member.
- Site: one website that you add to your Account, identified by the host names you list for it.
www.and the bare domain count as the same Site; a wildcard host (*.example.com) covers its subdomains. A Site can have up to 20 host names; additional host names are allowed only for the same website (for example a staging copy or a language domain). - Service: the dashboard at app.consentl.com, the public API v1 at api.consentl.com (loader, banner, consent beacons, forms, hosted cookie declaration, accessibility and legal-document pages), the cookie scanner, the legal document generator and the related e-mails.
- Plugins: the integrations we publish for website platforms (website snippet, Google Tag Manager template, WordPress and WooCommerce, Shopware, PrestaShop and Magento plugins) and the guides for other platforms.
- Plan and Plan Description: Free, Pro, Business or Enterprise, with the features and limits shown on the pricing page and in the dashboard when you choose the Plan.
- Customer Content: texts, images, CSS, settings and other content you put into the Service.
- Visitor Data: the personal data of your Sites' visitors that the Service processes for you (consent records, privacy requests, withdrawals, e-mails to visitors).
- Consumer: a natural person acting for purposes outside their trade, business, craft or profession. Business customer: anyone else, including non-profit organisations and public bodies.
3. Business customers and consumers
3.1 The Service is offered to businesses and to consumers (for example for a personal blog). When you create your account you tell us whether you act as a business or as a consumer; your choice applies to the Account and to every subscription bought for it. If you act as a business, you confirm that you are authorised to bind it and you give its name. To change the status of an Account, write to [email protected].
3.2 If you declare that you act as a business, the clauses marked [Business] apply and the clauses marked [Consumer] do not. If you are a consumer, the clauses marked [Consumer] apply, the clauses marked [Business] do not, and nothing in these Terms limits the rights that mandatory consumer law gives you (in particular Romanian Government Emergency Ordinance 34/2014 on consumer rights, Emergency Ordinance 141/2021 on digital content and digital services, Law 193/2000 on unfair terms, and the mandatory consumer rules of the country where you live).
3.3 If your declaration is wrong, the status that is actually true applies. A business that declared itself a consumer cannot later rely on the consumer clauses.
4. The Service
4.1 The Service helps you manage cookie consent and privacy requests on your Sites: a consent banner and preferences dialog, region rules, a consent log, tools to hold back scripts until consent, signals to Google and other vendors, a cookie scanner and cookie declaration, a privacy-request form and log, and, on some Plans, an EU withdrawal function, an age check, an accessibility menu, analytics of the banner and a legal document generator that creates and hosts your own privacy policy, terms, cookie policy and similar documents from your answers, in up to five languages.
4.2 Plan Description. The features and limits of each Plan are those of the Plan Description when you choose it. We keep a dated copy of each version. In particular:
- every Plan applies every region preset of the Service; changing a law's model (custom strategy) requires Business;
- the Free Plan has no time limit and is free of charge; it shows the banner in every offered language with our standard translations, shows a "Powered by Consentl" link on the banner, and does not include Google Consent Mode, the EU withdrawal function or automatic blocking of trackers;
- consent records are kept for the period of the Plan (Free and Pro 425 days, Business 730 days, Enterprise 1,825 days), and never for less than the consent lifetime you set plus 30 days;
- some features of the Shopify app are not available for websites; the pricing page says which.
4.3 The Free Plan. We may change or end the Free Plan with at least 60 days' notice by e-mail. Your data then stays available for export as in section 18.
4.4 Changes to the Service. We may change, add or remove features to improve the Service, to follow changes in law or in third-party platforms, or for security, without extra cost to you. We will not materially reduce the features of your paid Plan during a paid period. If a change reduces them from a later period, or otherwise affects your use of the Service more than in a minor way, we tell you at least 30 days in advance and you may terminate the affected subscription free of charge and receive a refund for the unused period (section 11). [Consumer] If a change negatively affects your access to or use of the Service more than in a minor way, you may terminate the contract free of charge within 30 days of being informed or of the change, whichever is later (art. 19 of Directive (EU) 2019/770).
4.5 Preview features. Features marked as "beta" or "preview" are offered for testing and may change or end at any time.
4.6 Dependency on our service. The banner is loaded from api.consentl.com. If our service cannot be reached, the banner may not be shown: scripts you have marked for blocking stay blocked, but scripts you have not marked are not controlled. The Plugins keep a copy of the loader for a few minutes and use it if our service does not answer. Consent records and requests sent while our service cannot be reached may be lost.
5. Plugins and open source
5.1 Each Plugin is licensed under the licence stated in its package (for example GPL-2.0-or-later for the WordPress plugin and Apache-2.0 for the Google Tag Manager template). Nothing in these Terms restricts the rights those licences give you.
5.2 These Terms govern the Service. The Service, including the dashboard, the API and the Consentl script that the Plugins load from the Service or place in your pages, is proprietary and licensed to you only as set out in section 19.
5.3 When you download a Plugin from a marketplace (for example WordPress.org, the Shopware Store, PrestaShop Addons, the Adobe Commerce Marketplace or the Google Tag Manager Community Template Gallery), that marketplace's terms also apply to the download.
5.4 Third-party components and data are used under their own licences, for example the Open Cookie Database (Apache License 2.0) and the DB-IP Lite country database (Creative Commons Attribution 4.0).
5.5 Downloads and updates from consentl.com. Plugins downloaded from consentl.com are provided there as files. The WordPress plugin asks consentl.com for new versions (about twice a day) and WordPress then offers the update; you decide whether to install it, and you can switch the check off as described in the plugin's documentation.
6. Accounts and security
6.1 You give accurate account data and keep it current. You keep your password confidential and tell us without delay if you suspect that your account has been compromised.
6.2 The account owner is responsible for the team members they admit and for their roles. Some actions (deleting a Site, billing, allowed host names, the contact address) need a recent password confirmation.
6.3 Site keys are public identifiers that appear in your pages. Misuse of your site key by third parties is not your breach, but you must tell us if you notice it.
7. Your responsibilities as controller
7.1 You remain the controller for your visitors' personal data. You decide whether and how to use the Service and are responsible for your Sites' compliance with data protection, ePrivacy, consumer and other laws.
7.2 Configuration. You are responsible for configuring the Service for your Sites and checking the
result, in particular: installing the Consentl script as the first script in the <head> of every
page (blocking works only for scripts that load after it); marking scripts, iframes and images that
need consent; the regions and legal models; the cookie categories; the texts and translations you
edit; the links to your privacy policy, cookie policy and legal notice; and keeping the banner
switched on once your Site is live.
7.3 Third-party scripts. Tags hard-coded in your pages, plugins of other providers and server-side tracking are under your control and that of their providers.
7.4 Requests and deadlines. You answer privacy requests and withdrawals within the statutory deadlines. Deadlines shown in the dashboard are aids. If you sell to EU consumers and are not on a Plan with the EU withdrawal function, you must provide that function by other means.
7.5 Your documents and content. You maintain your own privacy policy, cookie policy, legal notice and records of processing, and inform your visitors about the use of the Service (naming Consentl as your processor or service provider where the law requires it). You confirm that you have the rights needed for the Customer Content and that it is lawful. You give scan credentials (Enterprise) only for Sites you are entitled to have scanned.
8. No legal advice and no guarantee of compliance
8.1 The Service is a technical tool. It does not provide legal advice, and we do not guarantee that the use of the Service makes your Site compliant with any law. Whether a Site is compliant depends on its whole processing, its configuration and the laws that apply to it.
8.2 Region presets, default texts, the cookie database and the scanner reflect our good-faith understanding of common requirements at the time and may be incomplete or out of date. Scanner results depend on what is visible to an automated visitor. The visitor's region is derived from the IP address with a country database and can be wrong, for example for visitors who use a VPN; US states are not told apart. Documents created with the legal document generator are templates filled in with your answers: you are responsible for checking them, ideally with a lawyer, before you publish them.
8.3 You should obtain your own legal advice where needed.
9. Fees, billing and taxes
9.1 Prices. Paid Plans are priced per Site and per month or year, as shown on the pricing page and at checkout. Prices are in US dollars and are charged in US dollars; if your payment method uses another currency, your bank or card issuer converts the amount and may charge a fee for it. [Consumer] The price shown to you at checkout is the total price, including any taxes we must charge. [Business] Prices are stated without VAT or other taxes.
9.2 Payment. Payments are processed by Stripe Payments Europe, Limited, 1 Grand Canal Street Lower, Dublin 2, Ireland. Stripe processes your payment details under its own terms and privacy policy; we do not receive or store full card numbers.
9.3 Recurring payments. By buying a paid Plan you authorise us and Stripe to charge your payment method at the start of each billing period and for any plan change you make, until you cancel.
9.4 Taxes. We are not registered for VAT in Romania (small-enterprise exemption, art. 310 of the Romanian Fiscal Code) and do not charge Romanian VAT. [Business] If you are a business established in another EU member state, the supply is subject to the reverse charge and you account for VAT in your country; you give us your valid VAT identification number before payment, at checkout where the payment page asks for it or otherwise by e-mail to [email protected]. Where we are required by law to collect sales tax, VAT, GST or a similar tax in your jurisdiction, it is added at checkout and shown on the invoice. If you must withhold tax on a payment to us, you pay the additional amount needed so that we receive the full price.
9.5 Invoices are issued electronically and are available in the billing portal.
9.6 Promotional prices apply only for the period stated in the offer; afterwards the regular price applies.
10. Trials, renewal, plan changes and cancellation
10.1 Subscriptions and automatic renewal. Paid Plans are subscriptions per Site, billed monthly or yearly in advance. A yearly Plan costs ten times the monthly price. Your subscription renews automatically for the same period at the then-current price (section 12) until you cancel. [Consumer] We remind you by e-mail at least 7 days before a yearly subscription renews. Where the law of the country where you live gives you a shorter notice period or the right to end a renewed contract at any time, that law applies.
10.2 Free trial. A paid Plan may start with a free trial of 14 days, once per Account and once per Site. We ask for a payment method at the start. Unless you cancel before the trial ends, the subscription starts and is charged at the end of the trial. We remind you by e-mail at least 7 days before the first charge.
10.3 Plan changes. You can change your Plan or billing period in the billing portal. Upgrades apply at once; the difference is charged or credited pro rata as shown in the portal. On a downgrade, features not included in the new Plan stop working. If the new Plan keeps consent records for a shorter period, the previous period still applies for 30 days so that you can export the records; after that, records older than the new period are deleted (never earlier than the consent lifetime you set plus 30 days).
10.4 Cancellation. You can cancel at any time from the dashboard (Plan & billing → "Manage payment, invoices and cancellation", which opens the billing portal). Cancellation takes effect at the end of the current paid period; the Site then moves to the Free Plan. Fees already paid are not refunded except as stated in section 11 and, for consumers, in Annex A.
10.5 Failed payments. If a payment fails, Stripe retries it for up to 2 weeks and we tell you by e-mail; the paid features remain available during that time. If the payment still fails after the last retry, the subscription is cancelled and the Site moves to the Free Plan.
11. Refunds
11.1 Fees are non-refundable, except:
- (a) if we end the contract for convenience (section 17.3), or because a third party on which the Service depends no longer allows us to provide it, or under force majeure (section 23);
- (b) if you terminate because we materially reduced the features of your paid Plan or changed the Service as described in section 4.4, changed these Terms (section 24) or engaged a new sub-processor you objected to (DPA section 6.3);
- (c) if you were charged twice for the same Site and period (for example by two parallel checkouts);
- (d) [Consumer] if you withdraw from the contract (Annex A), or where consumer law gives you a refund for lack of conformity (section 20).
11.2 In cases (a) to (c) we refund the fees paid for the unused part of the period, through Stripe to the original payment method, within 14 days. Duplicate charges are refunded in full.
12. Price changes
We may change the prices of paid Plans for the reasons of costs, taxes, inflation or changes to the Service, with at least 30 days' notice by e-mail. The new price applies from your first renewal after the notice period; yearly Plans keep their price until the end of the paid year. If you do not want the new price, cancel before it applies; you then pay nothing at the new price.
13. Data protection
13.1 Our processing of your account and billing data is described in our privacy policy for websites. Stripe acts partly as an independent controller.
13.2 When we process Visitor Data on your behalf, the Data Processing Addendum (Schedule 2) applies and forms part of these Terms. It includes the CCPA service-provider terms, the transfer clauses and the sub-processor rules (30 days' notice). On data protection the DPA prevails over these Terms.
14. Acceptable use and API limits
14.1 You must not: use the Service in breach of law; use it to collect data you are not allowed to collect; add websites you do not operate or are not authorised to manage; attempt to access other customers' data, probe, overload or circumvent the security, rate limits or Plan limits of the Service; circumvent the trial rules (for example by opening several accounts); reverse engineer the Service except as allowed by law; or resell the Service. The open-source rights of section 5.1 remain unaffected.
14.2 The API has rate limits that protect the Service and the Sites of all customers. Traffic above them can be refused.
14.3 Content and moderation. The Service stores and shows Customer Content on your Sites and on pages we host for you (for example the cookie declaration, the accessibility statement and documents from the legal document generator). We do not check Customer Content before it is published. We may restrict Customer Content (remove it, disable it or stop showing a hosted page) only where it is unlawful or breaches this section, after a review by a person; we do not use automated tools to decide on content. A restriction is limited to the content concerned where possible.
14.4 Notices of unlawful content. Anyone can report content in the Service that they consider unlawful, by e-mail to [email protected], stating: why the content is unlawful; the exact address (URL) of the content; their name and e-mail address (except for reports of offences concerning the sexual abuse or exploitation of children); and that they believe in good faith that the report is accurate and complete. We confirm receipt, decide without undue delay, and tell the reporter our decision and the ways to contest it.
14.5 Statement of reasons and redress. If we restrict your Customer Content, we tell you by e-mail what we restricted, why, on which facts and on which legal or contractual ground, and how you can contest the decision: by replying to us (we review it again, by a person), through an out-of-court dispute settlement body certified under Regulation (EU) 2022/2065 (Digital Services Act), or before the courts.
14.6 Points of contact. Our single point of contact for authorities of the member states, the European Commission and the European Board for Digital Services, and for users of the Service, is [email protected], in English or Romanian.
15. Availability and support
15.1 We provide the Service with reasonable skill and care. There is no service level agreement unless agreed in writing. Maintenance may cause short interruptions; we plan it outside the main European business hours where possible.
15.2 Support is provided by e-mail at [email protected], in English or Romanian. We aim to answer within 2 Romanian business days. There is no status page.
16. Suspension
16.1 We may suspend all or part of the Service only:
- (a) where needed to prevent or stop a security incident or serious harm to the Service, to other customers or to visitors;
- (b) if you seriously breach section 14 and do not remedy the breach within 7 days of our notice (no notice period applies where the breach is urgent or unlawful); or
- (c) where the law or an authority requires it.
16.2 Where possible we suspend only the affected part or Site, keep your published banner running and give you advance notice, so that you can put another consent solution in place. We restore the Service once the cause is removed.
16.3 Non-payment does not lead to suspension: the Site moves to the Free Plan (section 10.5).
17. Term and termination
17.1 The contract for your Account runs for an indefinite period. Each paid subscription runs for its billing period and renews as in section 10.
17.2 By you. You can end a subscription at any time (section 10.4), delete a Site in its settings, or end the whole contract by deleting your Account (section 18.4).
17.3 By us. We may end the contract or a subscription for convenience with at least 60 days' notice, and immediately if you seriously breach these Terms and do not remedy the breach within 14 days of our notice, or for a breach of section 27.4. If we end it for convenience, section 11.1(a) applies.
17.4 Survival. Sections 9 (fees owed), 11, 18, 19, 20.4, 21, 22, 25, 26 and 27 survive termination.
18. Export, switching and deletion
18.1 Export. You can export at any time, on every Plan: the consent log of a Site as CSV, and all data of your Account ("Download my data (JSON)" on the Account page) as a JSON file with the Account, the acceptance records, every Site with its settings, cookie list, privacy requests, withdrawals and consent log. Passwords, security tokens and scan credentials are never exported.
18.2 Switching. You can switch to another provider or to your own systems at any time. If you tell us that you want to switch, or when you cancel, we (a) keep the Service running for a transitional period of up to 30 days after your notice, (b) let you retrieve your exportable data for at least 30 days after that (on the Free Plan, at no charge), and (c) then erase it, unless the law requires us to keep it. We do not charge for switching. Exportable data means the consent log, privacy requests, withdrawals, the cookie declaration and the banner settings; it does not include our software, templates or cookie database. Our servers and databases are in the EU (Frankfurt, Germany, operated by DigitalOcean, a US company); our measures against unlawful access by public authorities are described in the DPA.
18.3 Deleting a Site deletes its data at once. The dashboard asks you to confirm and recommends an export first. There is no recovery period: a deleted Site cannot be restored.
18.4 Deleting the Account. The account owner can delete the Account on the Account page, after cancelling the paid subscriptions. The Account then stays available for 30 days, during which your banners keep working and you can export your data or cancel the deletion; after that we delete the Account, all its Sites and their data, and the users who belong to no other Account. We keep the records of your acceptance of these Terms and of any withdrawal from a subscription for 3 years after the deletion, as evidence of the contract (privacy policy for websites, section 3). You can also ask for the deletion by e-mail to [email protected] from the owner's address.
18.5 Billing records are kept as accounting law requires. Backups are overwritten within 7 days.
19. Intellectual property
19.1 The Service, the Consentl script, texts, translations, templates and the cookie database are owned by us or licensed to us. We grant you a non-exclusive, non-transferable right, for the term of the contract, to use the Service for your Sites and to place the Consentl script in their pages.
19.2 You keep all rights in the Customer Content and grant us the rights needed to host and display it in the Service and on your Sites for the term of the contract.
19.3 On the Free Plan the banner shows a "Powered by Consentl" link; you allow us to display it.
19.4 If you send us suggestions, we may use them without obligation.
20. Warranty and conformity
20.1 We provide the Service with reasonable skill and care in line with the Plan Description and correct reproducible defects within a reasonable time after you report them.
20.2 [Consumer] We supply the Service in conformity with these Terms and with the requirements of
Directive (EU) 2019/770 (Romanian Emergency Ordinance 141/2021), including the updates, among them
security updates, needed to keep it in conformity for the duration of the contract. If the Service is
not in conformity during the contract, you are entitled to have it brought into conformity free of
charge, and, where the law provides, to a proportionate price reduction or to terminate the contract
and receive a refund for the period of non-conformity. For a continuous supply, the burden of proof that
the Service was in conformity during the supply lies with us. Your digital environment must meet the
technical requirements stated in the documentation (a website where you can place a script in the
<head>, a current browser for the dashboard).
20.3 [Business] Except as stated in these Terms and the DPA, and to the extent permitted by law, we give no other warranties, in particular that the Service is free of errors, uninterrupted, or suitable for a specific purpose or legal requirement. Our obligation is an obligation of means (obligație de mijloace).
20.4 Complaints about the Service can be sent to [email protected]. We answer without undue delay and at the latest within 30 days.
21. Liability
21.1 We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and where liability cannot be limited by law.
21.2 [Business] Otherwise, to the extent permitted by law:
- we are not liable for indirect or consequential damage, lost profit, lost revenue, or lost data that you could have exported;
- we are not liable for fines and penalties imposed on you by authorities, except to the extent they result from our breach of the DPA (subject to the limit in DPA section 14);
- our aggregate liability for all claims arising out of or in connection with these Terms in any contract year is limited, per Account, to the fees paid for the affected Site in the 12 months before the first event giving rise to liability, and to EUR 100 if no fees were paid in that period.
21.3 [Consumer] We are liable under the statutory rules. In the case of slight negligence we are not liable for damage that was not foreseeable when the contract was concluded (art. 1533 of the Romanian Civil Code). Your rights for lack of conformity (section 20.2) are not limited.
21.4 Claims under the DPA are subject to DPA section 14.
22. Indemnities
22.1 [Business] You indemnify us against third-party claims, including claims of data subjects and fines imposed on us by authorities, to the extent they result from your breach of these Terms, the DPA or data protection law, or from your Customer Content or configuration, provided that we notify you promptly, let you control the defence (we may take part at our own cost), cooperate reasonably and do not settle without your consent.
22.2 We indemnify you on the same conditions against third-party claims that the Service, used as permitted, infringes their intellectual property rights.
23. Force majeure
Neither party is liable for a failure or delay caused by events beyond its reasonable control, including force majeure and fortuitous events within the meaning of art. 1351 of the Romanian Civil Code, failures of the internet or of our hosting or payment providers, attacks and acts of authorities. The affected party informs the other without undue delay. If such an event lasts more than 30 days, either party may terminate the affected subscription, and section 11.1(a) applies. This section does not apply to payment obligations.
24. Changes to these Terms
24.1 We may change these Terms for valid reasons: changes in law, in the terms of our payment or hosting providers or of the platforms the Plugins run on, in the Service, or for security. We tell you about material changes at least 30 days in advance by e-mail to the account owners and in the dashboard. Changes required by law, or that only benefit you, may apply sooner.
24.2 If you object, you may terminate before the change takes effect; section 11.1(b) applies.
24.3 [Business] Where a change concerns a clause listed in section 28, we ask for your express acceptance in the dashboard. Until you give it, the previous version of that clause continues to apply; if you do not accept within 60 days, either party may end the contract at the end of the current paid period.
24.4 [Consumer] A change does not alter the main characteristics of the Service or the price of a period you have already paid without your agreement. If you do not agree with a change, you may terminate free of charge before it takes effect.
24.5 Previous versions are kept in the archive.
25. Notices, electronic communications and language
25.1 We send notices by e-mail to the verified addresses of the account owners and admins and show important notices in the dashboard. Notices about data protection (for example sub-processor changes and personal data breaches) go to the notice address you set on the Account page once it is confirmed, and otherwise to the account owners and admins. You send notices to [email protected], and notices about data protection to [email protected].
25.2 The parties agree to communicate electronically. Our records of acceptance, notices and settings are evidence of their content and date (Romanian Law 214/2024 on the use of electronic signatures).
25.3 These Terms are written in English, and we publish translations of them on our website. The English text is the reference version: if a translation differs from it, the English text prevails, except where the mandatory consumer law of your country requires otherwise. [Business] For business customers the English text alone is binding. [Consumer] If you are a consumer, the version of these Terms in an official language of your country of habitual residence, where we publish one, is equally authentic with the English text; if the two texts differ, the meaning more favourable to you applies. Nothing in this clause limits the information you are entitled to receive in your language.
26. Governing law and jurisdiction
26.1 These Terms and any non-contractual obligations arising out of or in connection with them are governed by Romanian law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
26.2 [Business] The competent courts of Cluj-Napoca, Romania, have exclusive jurisdiction. We may also bring proceedings in the courts of the place where you are established. Mandatory rules that give you the right to sue elsewhere remain unaffected.
26.3 [Consumer] The choice of Romanian law does not deprive you of the protection of the mandatory rules of the country where you have your habitual residence. You may bring proceedings in the courts of the place where you live or in Romania; we may bring proceedings against you only in the courts of the place where you live.
26.4 [Consumer] If we cannot resolve a complaint, you can contact the Romanian National Authority for Consumer Protection (ANPC, https://anpc.ro (external site)), including its alternative dispute resolution service (SAL, https://anpc.ro/sal/ (external site)), or the European Consumer Centre of your country. We are not obliged to take part in an alternative dispute resolution procedure unless the law requires it.
27. Miscellaneous
27.1 Order of precedence. On data protection the DPA prevails over these Terms; otherwise these Terms prevail over the Plan Description.
27.2 Assignment. We may transfer these Terms to a successor or an affiliated company with notice to you; [Consumer] you may then terminate free of charge if the transfer reduces your guarantees. [Business] You may transfer them only with our consent, which we will not refuse unreasonably for a transfer of the business or the Site.
27.3 Subcontracting. We may use subcontractors; for sub-processors of personal data the DPA applies.
27.4 Sanctions. You confirm that you are not subject to EU, UN, UK or US sanctions and will not use the Service for the benefit of a sanctioned person or territory.
27.5 [Business] Confidentiality. Each party keeps confidential the non-public information of the other that it receives under these Terms and uses it only for the contract.
27.6 Independent parties; no waiver; severability. The parties are independent. Not exercising a right is not a waiver. If a provision is invalid, the rest remains in force; between businesses, the parties replace it with a valid provision that comes closest to its purpose.
27.7 Entire agreement. These Terms, the DPA and the Plan Description are the entire agreement on the Service.
28. Clauses accepted expressly [Business]
Under art. 1203 of the Romanian Civil Code, standard clauses that limit liability, allow a party to terminate or suspend unilaterally, provide for tacit renewal, choose the applicable law or derogate from the rules on court jurisdiction take effect only if the other party accepts them expressly, in writing. Business customers expressly accept the following clauses by ticking the separate express-acceptance box when they create their Account (or, for a new version of these Terms, before they continue to use the dashboard):
| Clause | Subject |
|---|---|
| 4.3 and 4.4 | Our right to change the Service and to change or end the Free Plan |

Annex A — Right of withdrawal [Consumer]
Right of withdrawal. If you are a consumer, you have the right to withdraw from a contract for a paid Plan within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract was concluded, that is the day you completed the checkout for the paid Plan (including a Plan that starts with a free trial).
How to withdraw. You can withdraw:
- in the dashboard: on the Plan & billing page of the Site, choose "Withdraw from contract here", check the details shown and choose "Confirm withdrawal"; this function is available throughout the withdrawal period; or
- by a clear statement sent to STL EMBEDED CREATIONS SRL, Str. Kovari 75, 400217 Cluj-Napoca, Romania, e-mail [email protected], for example with the model form in Annex B (its use is not obligatory).
We confirm receipt of your withdrawal by e-mail without delay, with its content and the date and time we received it. To meet the withdrawal deadline, it is sufficient that you send your withdrawal before the withdrawal period has expired.
Effects of withdrawal. If you withdraw, we refund all payments received from you for that contract without undue delay and in any event within 14 days of the day we are informed of your withdrawal. We use the same means of payment as you used, unless you have expressly agreed otherwise; you will not be charged any fees for the refund. The Site then moves to the Free Plan.
If you asked us to start during the withdrawal period. If you requested that the paid Plan starts during the withdrawal period (the checkbox before checkout), you can still withdraw until the withdrawal period ends, and we still refund everything you paid for that contract in full: we do not charge for the days already provided. During a free trial nothing has been paid, so there is nothing to refund.
