Consentl legal document pack — Purchase terms

Version 1.0 · Effective: 2026-10-23

1. Parties, scope and acceptance

1.1 These purchase terms ("Terms") are a contract between STL EMBEDED CREATIONS SRL, Str. Kovari 75, 400217 Cluj-Napoca, Cluj, Romania; trade register no. J2020001305120; fiscal code (CUI) 42512332; not registered for VAT (intra-Community VAT code RO46686340); e-mail [email protected] ("we", "us") and the person or business that buys a Consentl legal document pack ("you").

1.2 They govern the purchase of a legal document pack on consentl.com (section 4), its delivery, its updates and the Consentl account in which you receive it, as far as you use that account for your packs. They do not bind you to the Terms of Service for websites: those apply only if you add a website to the account or use other parts of the Consentl service, and the dashboard then asks you to accept them. They do not apply to the Consentl app for Shopify.

1.3 Acceptance. You accept these Terms on our checkout page before you pay, by ticking the box for them. Business buyers also accept, with a separate box, the clauses listed in section 19. Consumers also make the request described in section 12. We record which version you accepted and when (section 18.2).

1.4 Before you pay we show you the documents in your pack, the total price, the update period and, if you are a consumer, the information on the right of withdrawal. You can save and print these Terms from our website, and we send you a copy with the confirmation of your purchase. Each version of these Terms has a version number and an effective date; earlier versions are available on request.

1.5 [Business] Between businesses, the information duties of Articles 10(1)–(2) and 11(1) of Directive 2000/31/EC on electronic commerce do not apply.

2. Definitions

  • Pack: the set of legal documents generated for you from your Answers, as described in section 4.
  • Documents: the documents of a Pack, in the formats of section 4.3, including documents you generate again during the Update Period.
  • Answers: what you enter in the questionnaire of the legal document generator on consentl.com and, later, in your account.
  • Templates: our texts and rules from which the Documents are generated.
  • Update Period: 12 months (365 days) from your payment (section 9). Its end date is in the confirmation e-mail and in your account.
  • Account: the Consentl account in which you receive the Pack (section 8.2).
  • Consumer: a natural person acting for purposes outside their trade, business, craft or profession. Business buyer: anyone else, including sole traders, non-profit organisations and public bodies.

3. Business buyers and consumers

3.1 Packs are sold to businesses and to consumers (for example for a personal website). On our checkout page you tell us whether you buy as a business or as a consumer. If you buy as a business, you give its name and confirm that you are authorised to act for it.

3.2 If you buy as a business, the clauses marked [Business] apply and the clauses marked [Consumer] do not. If you are a consumer, the clauses marked [Consumer] apply, the clauses marked [Business] do not, and nothing in these Terms limits the rights that mandatory consumer law gives you (in particular Romanian Government Emergency Ordinance 34/2014 on consumer rights, Emergency Ordinance 141/2021 on digital content and digital services, Law 193/2000 on unfair terms, and the mandatory consumer rules of the country where you live).

3.3 If your declaration is wrong, the status that is actually true applies. A business that declared itself a consumer cannot later rely on the consumer clauses.

4. The Pack

4.1 A Pack is digital content within the meaning of Directive (EU) 2019/770 and Romanian Emergency Ordinance 141/2021: legal documents generated once from your Answers and our Templates, supplied in a single act, together with the updates of section 9 during the Update Period.

4.2 Documents in a Pack. A Pack contains every document type that fits the type of business you choose in the questionnaire, whatever documents you selected for the free preview:

Type of business Documents
Online store Privacy policy, Terms and conditions, Cookie policy, Return and refund policy, Shipping policy, Disclaimer
SaaS (software as a service) Privacy policy, Terms and conditions, Cookie policy, Return and refund policy, Disclaimer, End user licence agreement (EULA), Acceptable use policy
Website Privacy policy, Terms and conditions, Cookie policy, Disclaimer, Acceptable use policy
Mobile app Privacy policy, Terms and conditions, Cookie policy, Return and refund policy, Disclaimer, End user licence agreement (EULA), Acceptable use policy
Marketplace Privacy policy, Terms and conditions, Cookie policy, Return and refund policy, Shipping policy, Disclaimer, Acceptable use policy

The generator page and our checkout page show the exact list for your Answers before you pay.

4.3 Form and languages. When you order, you choose one to five languages for the Documents from those offered on the generator page and our checkout page; the price is the same whatever the number of languages. Every Document is supplied in each language chosen, complete for your Answers (without placeholders); answers you type as free text (for example a description or a name) are inserted as you typed them and are not translated. The Documents can be downloaded one by one as an HTML page, a Markdown file and a plain-text file, or all together as one ZIP file. Each Document states the template version and the effective date you entered.

4.4 Not included: hosting or embedding of the Documents on your website, and documents that follow your cookie scans (both are part of the Business plan of Consentl for websites); a list of the cookies your website uses (the cookie policy of a Pack explains your use of cookies from your Answers, and you add the list of your cookies yourself); translations into languages other than those chosen (section 4.3) or of your free-text answers; a review by a lawyer; legal advice; and any document type not listed in section 4.2.

4.5 What you need. An e-mail address, a current web browser to download the Documents, and a program that opens HTML, Markdown or plain-text files (any browser or text editor). No other software, and no particular website platform, is needed; you can publish the Documents on any website, store or app.

5.1 The Documents are templates completed with your Answers. They are not legal advice, and we do not guarantee that publishing them makes your business, website, store or app compliant with any law. Nobody checks the Documents for your business. Whether you comply depends on your actual processing, your business and the laws that apply to it.

5.2 You are responsible for the accuracy and completeness of your Answers, for reading and checking the Documents, ideally with a lawyer, before you publish or rely on them, and for keeping them consistent with what your business actually does. Every Document opens with a notice to that effect.

5.3 The Templates reflect our good-faith understanding of common requirements of the laws and regions covered by the generator at the time of generation.

6. Order and conclusion of the contract

6.1 Steps. (a) You answer the questions on https://consentl.com/legal-document-generator and choose "Buy the documents"; your Answers are checked and, if complete, kept with an order for at most 24 hours. (b) On our checkout page you see the documents of your Pack and the price, choose whether you buy as a business or as a consumer and tick the boxes of section 1.3. (c) On the payment page of our payment provider Stripe you enter your e-mail address and payment details and confirm with the payment button. You need no Consentl account before you pay.

6.2 Correcting errors. Until you choose "Buy the documents" you can change every Answer on the generator page; until you confirm the payment you can go back from the checkout and payment pages, change your choices or cancel. If an order has expired, answer the questions again.

6.3 Conclusion. The contract is concluded when Stripe confirms your payment. For the payment methods we offer (cards, including Apple Pay and Google Pay, and Link) this happens immediately when you pay; if a payment is exceptionally confirmed later, the contract is concluded when that confirmation arrives, at the latest 14 days after the order. If the payment fails or is not confirmed, no contract is concluded, nothing is owed and the order and your Answers are deleted (privacy policy for websites).

6.4 Storage of the contract. We keep a record of your order, of the version of these Terms you accepted and of the statements you ticked, and send them to you with the confirmation of your purchase (section 8.1). These Terms remain available on our website. The contract is concluded in English; if you are a consumer, the version of these Terms in an official language of your country of habitual residence, where we publish one, is equally authentic. The translations of these Terms on our website and their effect are described in section 18.3.

7. Price, payment, taxes and invoices

7.1 Price. The price of a Pack is the one shown on the generator page and on our checkout page when you buy (on the effective date of these Terms: USD 49 per Pack). It is a one-time price: there is no subscription and no automatic renewal. A later change of the price applies only to later purchases. [Consumer] The price shown to you is the total price, including any taxes we must charge. [Business] Taxes are added where the law requires them and are shown on the payment page and the invoice.

7.2 Payment. Payments are processed by Stripe Payments Europe, Limited, 1 Grand Canal Street Lower, Dublin 2, Ireland, under its own terms and privacy policy; we do not receive or store full card numbers. Prices are in US dollars and are charged in US dollars; if your payment method uses another currency, your bank or card issuer converts the amount and may charge a fee for it.

7.3 Taxes. We are not registered for VAT in Romania (small-enterprise exemption, art. 310 of the Romanian Fiscal Code) and do not charge Romanian VAT. [Business] If you are a business established in another EU member state, the supply is subject to the reverse charge and you account for VAT in your country; you can enter your VAT identification number on the payment page. Where we are required by law to collect sales tax, VAT, GST or a similar tax in your jurisdiction, it is added on the payment page and shown on the invoice.

7.4 Invoices. Stripe issues the invoice (or, where no invoice is issued, the receipt) electronically for us. The confirmation e-mail links it.

7.5 Refunds. The price is not refunded, except:

  • (a) if you paid twice for the same order (for example through two payment pages opened for it): we refund the second payment in full;
  • (b) if we cannot supply the Pack (section 8.4): we refund the price in full;
  • (c) [Consumer] if you withdraw from the contract where you still have that right (section 12.4), or where consumer law gives you a refund for lack of conformity (section 11.1).

Refunds are made through Stripe to the original payment method, without fees, within 14 days of the day we learn of the case (for example by your e-mail to [email protected]).

8. Delivery and your account

8.1 Delivery. Right after your payment is confirmed:

  • the confirmation page in your browser shows the download links of every Document and of the ZIP file (these links work for 2 hours);
  • we send to the e-mail address you entered on the payment page a confirmation with our identity and address, the list of the Documents, the price, the date, the order number, the end of the Update Period, a link to a download page (valid for 30 days), the invoice or receipt link, the statements you accepted with their versions and, attached, these Terms.

8.2 Your account. We add the Pack to a Consentl account for the e-mail address you entered on the payment page. If a Consentl user with that address exists, the Pack is added to the first account that user owns. Otherwise we create a user and an account for that address and send you an activation link with the confirmation e-mail, valid for 14 days, with which you choose your password; afterwards you can use "Forgot password" on the sign-in page. Owners and admins of the account can download and regenerate the Pack, other members can download it.

8.3 The Documents of your Pack remain available for download in the account for as long as the account exists (section 15.3). Keep your own copies.

8.4 Supply. The Pack is supplied when the Documents are made available to you on the confirmation page or through the e-mailed download page, whichever comes first. If you receive neither within a reasonable time after your payment, write to [email protected]. If we cannot supply the Pack, we refund the price (section 7.5(b)); [Consumer] your rights under Article 13 of Directive (EU) 2019/770 are not affected.

9. Updates during the Update Period

9.1 What the updates are. During the Update Period we make available, in your account (Document packs):

  • the new versions of our Templates that we publish, in particular to follow changes of the laws and regions covered by the Documents, to correct errors or to improve them; and
  • the right to change your Answers and the languages of the Pack (one to five, section 4.3) and to generate the whole Pack again, as often as you like, with the current Templates.

9.2 How you receive them. The Document packs page shows when updated Templates are available for your Documents; you then generate the Pack again. If an update is needed to keep your Documents in conformity with these Terms (for example because a law that your Documents cover changed in substance), we also tell you by e-mail.

9.3 Your choice. We never change Documents you have downloaded or published, and we do not host them. A new generation replaces the downloads in your account; you decide whether and when to publish the new versions. If you change your type of business, the Pack follows it: its document types change as listed in section 4.2.

9.4 After the Update Period you can still download the last generated Documents. There are no further updates, and you can generate the Pack again only while the account has a website on a plan of Consentl for websites that includes the legal document generator (Business or Enterprise), under the Terms of Service for websites. Your stored Answers are deleted at the end of the Update Period unless the account has such a website; you may then need to answer the questions again.

9.5 [Consumer] During the Update Period we supply the updates that are needed to keep the Documents in conformity (Article 8(2) of Directive (EU) 2019/770). If you do not generate the Pack again within a reasonable time after we told you about such an update (section 9.2), we are not liable for a lack of conformity that results only from not using it.

10. Licence

10.1 The Templates, the generator and their texts are owned by us or licensed to us. When your payment is confirmed, we grant you a non-exclusive, worldwide and perpetual licence to use, copy, adapt, translate and publish the Documents of your Pack for yourself: for your own business and for the websites, online stores and apps that you operate. The licence continues after the Update Period and after the end of the account.

10.2 You may not sell, license or otherwise make available to third parties the Templates, the Documents as templates (for example as a template collection or in a document-generation service), or the generator. Publishing the Documents on your own websites, stores and apps, and giving them to your advisers or your service providers for your business, is allowed.

10.3 Your Answers and the content you enter remain yours. You allow us to use them only to generate, store and deliver your Documents (privacy policy for websites).

11. Conformity, warranty and complaints

11.1 [Consumer] Legal guarantee of conformity. We supply the Pack in conformity with these Terms and with the requirements of Directive (EU) 2019/770 (Romanian Emergency Ordinance 141/2021): the document types, formats and languages described in section 4, complete for your Answers, and with the updates of section 9 during the Update Period. You have the legal guarantee of conformity for digital content: we are liable for a lack of conformity that exists when the Pack is supplied and becomes apparent within two years of the supply, and for a lack of conformity of the updates during the Update Period. If the Pack is not in conformity, you are entitled to have it brought into conformity free of charge (for example a corrected Template and a new generation of the Pack) within a reasonable time, and, where the law provides, to a proportionate price reduction or to terminate the contract and receive a refund. That the Documents are templates and not legal advice (section 5) is part of their description, which you accept at checkout. Your digital environment must meet the requirements of section 4.5; we may ask for your reasonable cooperation to check it.

11.2 [Business] We generate the Documents as described in section 4 with reasonable skill and care and correct reproducible errors in the Templates within a reasonable time after you report them, by an updated Template and a new generation. Except as stated in these Terms and to the extent permitted by law, we give no other warranties, in particular that the Documents are complete, correct or suitable for your business or for a specific legal requirement. Our obligation is an obligation of means (obligație de mijloace).

11.3 Complaints can be sent to [email protected], with the order number. We answer without undue delay and at the latest within 30 days.

12. Right of withdrawal [Consumer]

12.1 As a consumer you generally have the right to withdraw from a distance contract within 14 days without giving any reason. The withdrawal period would expire 14 days after the day the contract is concluded (section 6.3).

12.2 Immediate supply and loss of the right. A Pack is digital content that is not supplied on a tangible medium, and we supply it immediately after your payment. On our checkout page you therefore expressly request that we supply the Pack immediately after payment, before the withdrawal period ends, and you acknowledge that you thereby lose your right of withdrawal. Once the supply has begun (section 8.4), you no longer have a right of withdrawal (art. 16 lit. m of Emergency Ordinance 34/2014; Article 16(m) of Directive 2011/83/EU). We confirm your request and your acknowledgement in the confirmation e-mail (art. 8(7)(b) of the Directive), which is sent as soon as the Pack is supplied.

12.3 We sell Packs to consumers only with this request, because the supply of the complete Documents immediately after payment is what the Pack is. If you do not want to make it, do not buy the Pack; the preview on the generator page stays free.

12.4 If the supply has not begun. If, after the contract is concluded, we have not yet supplied the Pack, or have not yet sent you the confirmation of section 12.2, you can still withdraw until that happens, and at the latest within 14 days of the conclusion of the contract, by a clear statement sent to STL EMBEDED CREATIONS SRL, Str. Kovari 75, 400217 Cluj-Napoca, Romania, e-mail [email protected], for example with the model form in Annex A (its use is not obligatory). We confirm receipt by e-mail without delay and refund all payments received for the Pack without undue delay and in any event within 14 days, by the same means of payment, without fees; the Pack is then not supplied. To meet the deadline, it is sufficient that you send your withdrawal before it expires.

12.5 Because the right of withdrawal ends when the Pack is supplied, right after payment, the account offers no "withdraw from contract" function for Packs; in the cases of section 12.4 write to us as described there.

12.6 Your rights for lack of conformity (section 11.1) and the refunds of section 7.5 are not affected by the loss of the right of withdrawal.

13. Liability

13.1 We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and where liability cannot be limited by law.

13.2 [Business] Otherwise, to the extent permitted by law:

  • we are not liable for indirect or consequential damage, lost profit or lost revenue;
  • we are not liable for fines and penalties imposed on you by authorities, or for claims of third parties against you, that result from the content of Documents you published (section 5);
  • our aggregate liability for all claims arising out of or in connection with a Pack is limited to the price you paid for that Pack.

13.3 [Consumer] We are liable under the statutory rules. In the case of slight negligence we are not liable for damage that was not foreseeable when the contract was concluded (art. 1533 of the Romanian Civil Code). Your rights for lack of conformity (section 11.1) are not limited.

14. Data protection

14.1 Our processing of your Answers, order, payment and account data is described in the privacy policy for websites, section "Purchase of a legal document pack". Stripe acts partly as an independent controller.

14.2 Your Answers can contain personal data of other people (for example a contact person or a data protection officer you name). You may enter it only if you are allowed to publish it in your Documents.

15. Term and end of the contract

15.1 The contract is performed by the supply of the Pack. Our duty to make updates available lasts for the Update Period; the licence of section 10 continues afterwards.

15.2 [Consumer] You may terminate the contract for lack of conformity or failure to supply as consumer law provides (sections 8.4 and 11.1).

15.3 Deleting the account. The account owner can delete the account on the Account page, or ask for it by e-mail to [email protected] from the owner's address. The account then stays available for 30 days, during which you can download your Documents or cancel the deletion; after that we delete the account with its Packs, Documents and Answers. Deleting the account ends the Update Period early, without a refund; the licence for Documents you downloaded continues. The records of your acceptance of these Terms are kept for 3 years after the deletion, as evidence of the contract (privacy policy for websites, section 3).

16. Changes to these Terms and to the Templates

16.1 A purchase is governed by the version of these Terms you accepted for it. New versions apply only to later purchases; we do not ask you to accept them for a Pack you already bought.

16.2 We may change the Templates and the generator during the Update Period (section 9.1), for example to follow changes in law or to improve them. Such changes never alter Documents you downloaded (section 9.3). We will not remove a document type of section 4.2 or a format of section 4.3 from your Pack during its Update Period.

17. Governing law, jurisdiction and dispute resolution

17.1 These Terms and any non-contractual obligations arising out of or in connection with them are governed by Romanian law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.

17.2 [Business] The competent courts of Cluj-Napoca, Romania, have exclusive jurisdiction. We may also bring proceedings in the courts of the place where you are established. Mandatory rules that give you the right to sue elsewhere remain unaffected.

17.3 [Consumer] The choice of Romanian law does not deprive you of the protection of the mandatory rules of the country where you have your habitual residence. You may bring proceedings in the courts of the place where you live or in Romania; we may bring proceedings against you only in the courts of the place where you live.

17.4 [Consumer] If we cannot resolve a complaint, you can contact the Romanian National Authority for Consumer Protection (ANPC, https://anpc.ro (external site)), including its alternative dispute resolution service (SAL, https://anpc.ro/sal/ (external site)), or the European Consumer Centre of your country. We are not obliged to take part in an alternative dispute resolution procedure unless the law requires it.

18. Miscellaneous

18.1 Contact and notices. You can reach us at [email protected] (questions, complaints, withdrawals) and, about data protection, at [email protected], in English or Romanian. We send notices by e-mail to the address of the purchase or of the account owners and admins.

18.2 Electronic communications and evidence. The parties agree to communicate electronically. Our records of the order, of the acceptance of these Terms and of the statements ticked at checkout are evidence of their content and date (Romanian Law 214/2024 on the use of electronic signatures).

18.3 Language. These Terms are written in English, and we publish translations of them on our website. The English text is the reference version: if a translation differs from it, the English text prevails, except where the mandatory consumer law of your country requires otherwise. [Business] For business buyers the English text alone is binding. [Consumer] If you are a consumer, the version of these Terms in an official language of your country of habitual residence, where we publish one, is equally authentic with the English text; if the two texts differ, the meaning more favourable to you applies. Nothing in this clause limits the information you are entitled to receive in your language.

18.4 Assignment. We may transfer these Terms to a successor or an affiliated company with notice to you; [Consumer] you may then terminate free of charge if the transfer reduces your guarantees. [Business] You may transfer them only with our consent, which we will not refuse unreasonably for a transfer of your business.

18.5 Sanctions. You confirm that you are not subject to EU, UN, UK or US sanctions and will not use the Pack for the benefit of a sanctioned person or territory.

18.6 No waiver; severability; entire agreement. Not exercising a right is not a waiver. If a provision is invalid, the rest remains in force; between businesses, the parties replace it with a valid provision that comes closest to its purpose. These Terms are the entire agreement on the Pack.

19. Clauses accepted expressly [Business]

Under art. 1203 of the Romanian Civil Code, standard clauses that limit liability, provide for the loss of rights, choose the applicable law or derogate from the rules on court jurisdiction take effect only if the other party accepts them expressly, in writing. Business buyers expressly accept the following clauses by ticking the separate express-acceptance box on our checkout page before they pay:

Clause Subject
5 and 11.2 No legal advice and no guarantee of compliance; exclusion of warranties for the content of the Documents
7.5 Refunds only in the listed cases
9.4 and 16.2 Our right to change the Templates during the Update Period; the end of updates and regeneration after it
13.2 Limitation of our liability to the price paid and exclusion of indirect damage, fines, penalties and third-party claims
17.1 and 17.2 Romanian law and the exclusive jurisdiction of the courts of Cluj-Napoca
